1. AGREEMENT TO THESE TERMS

These Website Terms of Use (the “Terms”) govern your access to and use of the website at www.qingo.com (the “Site”), operated by Qingo LLC (“Qingo,” “we,” “us,” or “our”), a California limited liability company with its registered address at 355 S. Grand Ave. Suite 2450, Los Angeles, CA 90071.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site. If you are a business customer using Qingo’s products or services under a separate agreement (including any Data Processing Agreement), that agreement governs your use of those products and services; these Terms govern only your use of this Site.

2. WHAT THE SITE PROVIDES

The Site provides general information about Qingo’s smart vending equipment, software, and services, industry solutions, case studies, and company information. The Site also provides a contact and inquiry form through which you may request sales, support, demo, or partnership information. Any information you submit through the Site is handled as described in our Privacy Policy.

3. INTELLECTUAL PROPERTY

All content on the Site — including text, graphics, logos, images, product names, designs, and software — is the property of Qingo LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. “Qingo,” the Qingo logo, and product names (including TEN, KING, QUEEN, ACE, and PAIR) are trademarks of Qingo LLC. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent. No license or right is granted by implication or otherwise.

4. ACCEPTABLE USE

You agree not to:

• Use the Site for any unlawful, misleading, or fraudulent purpose;
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with the Site’s operation (including by introducing malware, scraping at disruptive volumes, or probing for vulnerabilities without authorization);
• Systematically download or harvest Site content to create a database or competing service;
• Submit false, misleading, or third-party personal information through any form on the Site;
• Misrepresent your identity or affiliation when contacting us.

We may suspend or block access to the Site for any violation of these Terms.

We do not control and are not responsible for the content, policies, or practices of any third-party site. A link does not imply endorsement. Product specifications, availability, and case study results shown on the Site are for general information only and may vary by deployment; they do not constitute a warranty or a binding offer. Binding terms for any purchase or service are set exclusively in a signed agreement between you and Qingo.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QINGO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. QINGO’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SITE SHALL NOT EXCEED USD ONE HUNDRED (100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

8. INDEMNIFICATION

You agree to indemnify and hold harmless Qingo from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Site.

9. PRIVACY

Your use of the Site is also subject to our Privacy Policy, which describes what data we collect through the Site (including analytics cookies and contact form submissions) and your rights. The Privacy Policy is incorporated into these Terms by reference.

10. CHANGES TO THESE TERMS

We may update these Terms from time to time. The “Last Updated” date above reflects the most recent revision. Material changes will be announced by posting the updated Terms on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

11. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.
